About these terms

These terms apply when we supply products or services to you following an enquiry or quote. They are between you and Allbase Group Ltd ("we", "us", "our"), company number 09611962, registered office 10 Cliff Parade, Wakefield, West Yorkshire WF1 2TA, VAT number GB 221452939.

We do not currently sell or take payment through the website. Orders are placed by enquiry and quote, and a contract is formed only as described below.

Quotes

A quote we give sets out the products or services, the price, and any terms specific to that quote. Unless stated otherwise, a quote is valid for 30 days and is an invitation for you to place an order, not a binding offer by us. Any indicative figures provided before a formal quote, including results from tools on our website and indicative environmental or lifecycle estimates, exclude VAT and delivery and are for guidance only; VAT, delivery costs and final pricing are confirmed on the official quotation.

Orders and our agreement

When you accept a quote or place an order, that is an offer to buy from us. A binding contract is formed only when we confirm acceptance of your order in writing. We may decline an order, and if we do we will not be liable to you for doing so; where you have paid anything in advance, we will refund it.

Prices and payment

Prices are as set out in the relevant quote and exclude VAT and delivery unless stated otherwise; VAT is applied at the rate in force. Payment is on a pro-forma basis, payable in advance, unless account terms have been agreed with you in writing. Specific payment, delivery and other terms will be set out in the quote.

Delivery, risk and title

Delivery arrangements are as agreed for each order. Risk in the products passes to you on delivery. Ownership of the products passes to you once we have received payment in full.

Your rights if something is wrong

If products are faulty, not as described, or not fit for a purpose you made known to us, you have rights under the Consumer Rights Act 2015 (if you are a consumer) and under the contract (if you are a business). Please contact us as soon as possible if there is a problem so we can put it right. Nothing in these terms affects a consumer's statutory rights.

Advice and suitability

Where we give advice or recommendations about products, materials or systems, we do so in good faith and based on the information available to us. You remain responsible for satisfying yourself that what you order is suitable for your project and intended use, and for obtaining any survey, professional advice or regulatory consents needed.

Our liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be excluded by law, or affects a consumer's statutory rights.

Subject to that: if you are a consumer, we are liable for foreseeable loss caused by our breach, but not for unforeseeable loss or business loss. If you are a business customer, we exclude, to the extent the law allows, all liability for indirect or consequential loss and for loss of profit, revenue, business, goodwill or opportunity, and our total liability in connection with any order is limited to the price paid for it. We are not liable for failures caused by events beyond our reasonable control.

General

These terms, together with the relevant quote, are the whole agreement between us for that supply. If any part is unenforceable, the rest stands. We may update these terms, and the version that applies to an order is the one in force when we accept it. These terms are governed by the law of England and Wales, and disputes will be dealt with by the courts of England and Wales.
